1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and GadgetGuy Industries, LLC (“Company”, “we”, “us”, or “our”), concerning your access to and use of the gadgetguyindustries.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

We are registered in Florida, United States and have our principal office in Rotonda West, FL. By accessing the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

 

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and its entire contents (including source code, databases, functionality, software, audio, video, text, and graphics) and the trademarks and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States.

A. Digital Signal Processing (DSP) & Plugins

All proprietary algorithms, circuit-modeling data, and software code utilized in our DAW plugins (including but not limited to Guitar Army, SchizoFuzz, and FuzzBucket digital editions) are the exclusive trade secrets of GadgetGuy Industries, LLC.

B. Hardware Designs

Physical circuit board (PCB) layouts, mechanical enclosure designs, and proprietary component configurations for our boutique hardware are protected intellectual property. Unauthorized “cloning,” reverse-engineering, or reproduction of these circuits for commercial sale is strictly prohibited.

3. SOFTWARE LICENSING & RESTRICTIONS

Upon purchasing a digital product, you are granted a non-exclusive, non-transferable, revocable license to use the software.

• Single User License: Unless otherwise stated, software licenses are for a single user. You may install the software on multiple machines owned by you, provided only one instance is in use at any given time.

• Prohibited Acts: You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt any plugin. You may not rent, lease, lend, sell, redistribute, or sublicense the software.

• Anti-Piracy: We reserve the right to use digital watermarking or hardware-locked activation to protect our intellectual property.

4. BOUTIQUE HARDWARE MANUFACTURING & SALES

A. Handmade Nature

Our hardware is hand-built in small batches. You acknowledge that “shop-built” industrial goods may feature minor aesthetic variations, including variations in metal finish, laser engraving depth, or internal component color. These are not defects but markers of the boutique manufacturing process.

B. Shipping & Risk of Loss

All hardware is shipped from our facilities via third-party carriers. Risk of loss and title for such items pass to you upon our delivery to the carrier. We are not responsible for delays caused by the carrier or customs.

C. Technical Specifications

We reserve the right to update hardware revisions (e.g., v1.1, v2.0) without prior notice to improve performance or stability. Specifications provided on the Site are based on bench testing and may vary slightly in real-world environments.

5. PURCHASES AND PAYMENT

We accept the following forms of payment:

• Visa / Mastercard / American Express / Discover

• PayPal

• Affirm / Afterpay (where applicable)

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. Sales tax will be added to the price of purchases as deemed required by us (specifically for Florida residents).

6. LIMITATION OF LIABILITY

IN NO EVENT WILL GADGETGUY INDUSTRIES, LLC OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

Specifically, we are not liable for:

1. Equipment Damage: Damage to third-party audio interfaces, speakers, amplifiers, or instruments resulting from the use of our high-output signal Products.

2. System Instability: Computer crashes, data loss, or DAW project corruption resulting from software plugin incompatibility.

3. Physical Injury: Any injury or electrical shock resulting from unauthorized opening or modification of hardware enclosures.

7. GOVERNING LAW AND JURISDICTION

These conditions are governed by and interpreted following the laws of the State of Florida. GadgetGuy Industries, LLC and yourself both consent that the courts of Charlotte County, Florida shall have exclusive jurisdiction to settle any dispute which may arise in connection with these terms.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Products; (2) breach of these Terms and Conditions; (3) any breach of your representations and warranties set forth in these Terms and Conditions.

9. USER DATA & PRIVACY

We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms and Conditions. Please be advised the Site is hosted in the United States.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Products without notice at any time.
